Relationship between corporate governance and compliance

In recent times there has been unprecedented community and regulatory focus on the accountability of those who direct and manage organisations. In large part this focus reflects multiple failures of corporate governance at the heart of which are compliance issues and breaches. To better understand the relationship between corporate governance and compliance, a presentation will be led by Deborah Latimer, Partner, and Sharmila Lakshman, Manager, in Governance, Regulation & Conduct at Deloitte, which will cover:


  • The concept of corporate governance and how it relates to compliance 
  • Recent failures of corporate governance and how they are connected to compliance issues
  • The role of the board with respect to compliance 
  • How the compliance function can better support corporate governance (with case studies)

The Deloitte presentation will be followed by an interactive panel discussion, which will include: 

  • Deborah Latimer, Partner - Deloitte

Deborah is a partner in our Australian/APAC Governance, Regulation and Conduct Practice and is co-lead partner of our Corporate Governance and Compliance Specialist Advisory Teams.

She is a lawyer and has over 25 years’ experience predominantly within the financial services sector in Australia including private legal practice, regulatory practice, industry (in-house) and consulting experience. Deborah originally entered private legal practice and became a Partner in law firm Laurence & Laurence in 1992. In 1995 Deborah joined national corporate regulator the Australian Securities and Investments Commission (ASIC) responsible for corporations and financial services regulation. At ASIC Deborah held several roles including Consumer Protection Office and National Special Counsel for Financial Services Regulation. From 2003-4 Deborah held senior executive positions in regulatory affairs, risk management, governance, and compliance with two of the ‘big four’ Australian Banks being Westpac and NAB. For the eight years immediately prior to joining Deloitte in 2018, Deborah was the founding Director of Incorporated Legal Practice (ILP) and boutique Governance, Risk, and Compliance consultancy Sector Seven.

Deborah is a Fellow of the Governance Institute of Australia (FGIA) and of the GRC Institute (FGRCI), and is a Graduate of the Australian Institute of Company Directors (GAICD). She also holds a Bachelor of Arts and Bachelor of Laws from the University of Sydney.

At Deloitte Deborah’s key practice areas are corporate governance, regulatory compliance, and conduct. Deborah leads Board evaluations across the public, private, and Not-For-Profit (NFP) sectors and with a particular focus on the financial services sector as well as reviewing and advising on the design, adequacy, and implementation of corporate governance and regulatory compliance structures, frameworks, policies and procedures.

Deborah authored Deloitte’s Point of View on Corporate Governance in response to the Final Report of the Australian Government appointed Royal Commission into Misconduct in the Banking and Financial Services Industry in 2019 and has delivered numerous presentations on this subject. Following the Royal Commission Deborah completed an engagement with ASIC in relation to the design of ASIC’s Corporate Governance Taskforce surveillance.

Chris Linde is a risk executive with experience in financial services covering compliance, financial crime, conduct, operational risks and forensic accounting irregularities.  Chris has over 25 years’ experience working across the Big 4 firms and global banking conglomerates whilst being based in the United Kingdom, Australia, Singapore, South Korea and South Africa.
